1. Definitions and Interpretation
In these Terms of Service, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:
- “Service” means the ComplianceOS cloud-based software platform, including all AI-powered compliance checking, transaction synchronization, report generation, and evidence vault features provided by Yenova Labs FZ-LLC.
- “User” or “Subscriber” means any individual or legal entity that accesses or uses the Service pursuant to a valid subscription.
- “Authorized Reviewer” means a qualified human professional (such as a licensed accountant, auditor, or tax consultant) designated by the User to review and approve all AI-generated outputs prior to submission to any regulatory authority.
- “Taxable Person” means any person registered or required to register for VAT, Corporate Tax, or any other applicable tax under the laws of the United Arab Emirates.
- “Evidence Vault” means the secure, tamper-evident digital storage system within ComplianceOS that archives documents and transaction records using SHA-256 cryptographic hashing.
- “FTA” means the UAE Federal Tax Authority.
- “AI Credits” means the unit of consumption allocated to each subscription plan, consumed per AI-powered operation as defined in the applicable pricing schedule.
- “Partner” means an accounting firm, audit practice, or tax consultancy that has entered into a separate Partner Addendum with Yenova Labs.
- “PDPL” means UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, as amended.
2. Nature of Service
2.1 Decision Support, Not Professional Advice
ComplianceOS is designed and licensed as a Software-as-a-Service (SaaS) decision support tool. The Service assists Users in categorizing financial transactions, identifying potential regulatory compliance issues, generating draft reports, and maintaining an evidence archive. The Service does not constitute, and shall not be construed as, the provision of legal advice, tax consultancy, audit services, or any other regulated professional service under UAE law.
2.2 AI Probability of Error
All classifications, calculations, risk assessments, and reports generated by the AI engine are probabilistic in nature and may contain errors, omissions, or misclassifications. The AI models are trained on publicly available regulatory frameworks and may not reflect the most recent amendments, clarifications, or private rulings issued by the FTA or other UAE authorities.
2.3 No Regulatory License
Yenova Labs FZ-LLC operates under a technology services license issued by the Meydan Free Zone Authority. Yenova Labs does not hold, and does not purport to hold, any license to practice as a tax agent, legal advisor, auditor, or registered tax consultancy in the UAE or any other jurisdiction.
3. Human-in-the-Loop Requirement
The User acknowledges and agrees that:
- The final legal responsibility for all tax filings, regulatory submissions, and compliance decisions rests solely with the Taxable Person and/or their appointed professional advisors;
- ComplianceOS outputs are preliminary drafts intended to support, not replace, professional judgment;
- Yenova Labs shall have no liability for any filing made without adequate human review;
- The User shall maintain adequate records of the Authorized Reviewer's approval for each filing cycle.
4. Evidence Vault and Data Retention
4.1 Document Integrity
All documents, transaction records, and reports stored in the Evidence Vault are cryptographically hashed using the SHA-256 algorithm at the time of ingestion. Each entry is assigned a unique hash value and timestamp, creating an immutable audit trail that can be independently verified.
4.2 Statutory Retention Period
In accordance with UAE Federal Decree-Law No. 28 of 2022 on Tax Procedures (as amended), and the requirements of the FTA, Yenova Labs shall maintain Vaulted Data for a minimum period of seven (7) years from the date of the relevant tax period to which the data relates. This retention period applies regardless of the status of the User's subscription.
4.3 Access Policy
Access to the Evidence Vault is a feature of paid subscription plans. Upon termination or expiration of an active subscription, the User's access to historical evidence shall be restricted. The User may elect to transition to an Archive Plan, which provides read-only access to Vaulted Data for audit and regulatory inquiry purposes, subject to the applicable fees.
4.4 Data Export
The User may request a full export of their Vaulted Data in a machine-readable format (JSON/CSV) at any time during an active subscription. Following termination, data export requests will be processed within thirty (30) business days, subject to payment of any outstanding fees and verification of the requester's identity and authority.
5. Subscription, Billing, and AI Credits
5.1 Subscription Plans
The Service is offered on a subscription basis, with plans and pricing as published on the ComplianceOS website or as set forth in a separate Order Form. All fees are denominated and payable in UAE Dirhams (AED) unless otherwise agreed in writing.
5.2 AI Credit Consumption
Each subscription plan includes a monthly allocation of AI Credits. Credits are consumed per AI-powered operation, including but not limited to compliance checks, transaction analysis, report generation, and natural language queries. The specific credit cost per operation is defined in the Cost Calculator, which is accessible within the platform dashboard.
5.3 Credit Rollover
Unless explicitly stated in the applicable subscription plan or Partner Agreement, unused monthly AI Credit allocations do not roll over to subsequent billing periods and shall expire at the end of each billing cycle.
5.4 Payment Terms
Subscription fees are payable in advance. Yenova Labs reserves the right to suspend access to the Service if payment is not received within fifteen (15) days of the invoice date. Suspension of service does not relieve the User of their obligation to pay outstanding fees.
6. Third-Party Connectors and Data Accuracy
6.1 Accounting System Integrations
ComplianceOS connects to third-party accounting systems (including but not limited to QuickBooks, Xero, Sage, NetSuite, Dynamics 365, and Zoho Books) via their respective APIs, using OAuth 2.0 authentication. Yenova Labs does not store User credentials for third-party systems.
6.2 Data Accuracy
Yenova Labs does not warrant the accuracy, completeness, or timeliness of data received from third-party accounting systems. The User is responsible for ensuring that their source accounting data is accurate and up to date. ComplianceOS processes data as received and any errors in the source data may propagate through to compliance outputs.
6.3 API Changes
Third-party providers may modify, deprecate, or discontinue their APIs at any time. Yenova Labs shall use commercially reasonable efforts to maintain connector functionality but does not guarantee uninterrupted access to any third-party system.
7. Limitation of Liability
7.1 Cap on Liability
In no event shall Yenova Labs' aggregate liability to the User for all claims arising under or in connection with these Terms exceed the total amount of subscription fees actually paid by the User to Yenova Labs during the twelve (12) month period immediately preceding the event giving rise to the claim.
7.2 Force Majeure
Yenova Labs shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, sanctions, internet outages, cyberattacks, or failures of third-party cloud infrastructure providers.
8. Indemnification
The User shall indemnify, defend, and hold harmless Yenova Labs FZ-LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's use of the Service; (b) any filing made based on Service outputs without adequate human review; (c) the User's breach of these Terms; or (d) any third-party claim relating to the User's tax or regulatory obligations.
9. Intellectual Property
All intellectual property rights in the Service, including but not limited to the software, AI models, algorithms, user interface designs, documentation, and trademarks, are and shall remain the exclusive property of Yenova Labs FZ-LLC. The User is granted a limited, non-exclusive, non-transferable, revocable license to use the Service during the subscription period solely for the User's internal business compliance purposes.
10. Termination
10.1 Termination by User
The User may terminate their subscription at any time by providing written notice through the platform dashboard. Termination shall be effective at the end of the current billing period. No refunds shall be issued for partial billing periods.
10.2 Termination by Yenova Labs
Yenova Labs may suspend or terminate the User's access to the Service immediately and without notice if: (a) the User breaches any material provision of these Terms; (b) the User fails to pay subscription fees when due; (c) the User engages in any activity that threatens the security or integrity of the Service; or (d) Yenova Labs is required to do so by law or regulatory order.
10.3 Effect of Termination
Upon termination, the User's right to access the Service shall cease, except for read-only access to the Evidence Vault if the User elects an Archive Plan. Sections 4 (Evidence Vault), 7 (Limitation of Liability), 8 (Indemnification), 9 (Intellectual Property), and 11 (Governing Law) shall survive termination.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai, including the regulations of the Meydan Free Zone Authority.
11.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be referred to mediation in accordance with the rules of the Dubai International Arbitration Centre (DIAC). If the dispute is not resolved by mediation within sixty (60) days, it shall be referred to and finally resolved by arbitration under the DIAC Arbitration Rules. The seat of arbitration shall be Dubai, UAE, and the language shall be English.
12. Electronic Acceptance
By clicking “I Accept” or by accessing or using the Service, the User acknowledges that they have read, understood, and agree to be bound by these Terms of Service, including the AI Co-Pilot Disclaimer, the Human-in-the-Loop Requirement, and the Data Access Policy. Yenova Labs shall log the timestamp, IP address, and user agent string of each acceptance event for evidentiary purposes.
